This document, together with the order, proposal, contract and SLA, forms the agreement with Bayani. A service-specific signed document prevails over these general terms. Mandatory Saudi law always applies.
Terms and conditions
Service and acceptance
Registration, electronic acceptance, payment or use binds the customer and its authorized users. Orders define the plan, users, storage, environments, applications, term and scope. Recurring subscription fees are separate from one-time implementation, migration, training and customization fees.
Accounts and acceptable use
Customers must secure credentials, manage permissions and promptly report compromise. Illegal, fraudulent, abusive or unauthorized resale, reverse engineering, security circumvention, malware, spam and harmful workloads are prohibited. Bayani may suspend access to protect customers, the platform or comply with law.
Customer data and IP
Customers retain their data and authorize Bayani to process it only as needed to deliver, secure and support the service. Bayani retains its platform, standard software, tools, templates, methods and general improvements. Third-party components remain subject to their licenses.
Availability, changes and third parties
Reasonable professional care is used, but uninterrupted or error-free operation and particular business results are not guaranteed. Maintenance, security updates and non-material feature changes may occur. Payment, cloud, messaging and other integrations remain subject to external providers.
Fees, suspension and termination
Fees are due as stated in the order. Late payment may result in notice, restriction and suspension without waiving outstanding amounts. Material breach, security or regulatory risk, insolvency or non-payment may result in termination. Export access may be provided for a reasonable period, after which data may be deleted or anonymized subject to retention law.
Liability
To the maximum extent permitted by law, Bayani is not liable for indirect, consequential, profit, revenue, reputation or opportunity losses, or data loss caused by the customer or an uncontrolled third party. Aggregate direct liability is limited to fees paid for the affected service during the preceding twelve months, except where such limitation is prohibited or for proven fraud or gross fault.
Law
Saudi Arabian law applies. Parties first seek amicable resolution through support; competent Riyadh courts have jurisdiction unless mandatory law requires otherwise. Arabic prevails in a conflict.
Privacy policy
Bayani collects identity, contact, organization, account, authentication, order, invoice, support, device, log, usage and security data to perform contracts, operate and secure services, bill customers, provide support, prevent fraud, improve services and comply with law. Moyasar and payment networks process payment instrument data; Bayani does not store full card numbers or security codes.
Minimum necessary information may be shared with contracted cloud, hosting, payment, communications, analytics, security, professional and support providers, or competent authorities with legal basis. Bayani does not sell personal data. Cross-border processing is handled subject to Saudi PDPL requirements and safeguards.
Data is retained for the relationship and applicable accounting, tax, dispute, security and backup periods, then securely deleted or anonymized. Reasonable access controls, encryption in transit where applicable, logging, monitoring, backups and vulnerability management are used.
Subject to law and exceptions, individuals may request information, access, a copy, correction, completion, update, destruction, withdrawal of consent or objection. Identity and authority may be verified. Submit a privacy request through the support center.
Cancellation and refund policy
Submit requests through support with the order number and evidence. Eligible pre-activation payments may be refunded less properly disclosed non-recoverable third-party costs. Used subscription periods and delivered scope are non-refundable unless Bayani fails to cure a material service failure or law requires otherwise.
Implementation and customization are assessed separately based on completed work, reserved capacity and third-party commitments. Approved refunds return only to the original payment method. Posting commonly takes 1–3 business days for mada and 7–14 days for credit cards after submission to the processor, subject to the issuing bank.
Digital delivery
Services are digital. Standard subscriptions normally activate within minutes after verified payment and no later than one business day if manual review is required. Implementation, migration, integration and customization follow the approved project scope, dependencies, acceptance criteria and schedule.
Payment and billing
Prices are normally in SAR and applicable VAT is disclosed before confirmation. Payments are processed by Moyasar and licensed providers. Bayani accepts a transaction only after server-side verification of its status, amount, currency and reference, and may review suspicious activity.
